AdLumoEx — Terms of Service

1. Overview
AdLumoEx (“we,” “us,” or “the Platform”) provides an online marketplace connecting advertisers with operators who offer physical advertising placements such as walls, windows, or digital screens.
By creating an account, browsing listings, or engaging in bookings or auctions, you agree to these Terms of Service (“Terms”). If you do not agree, please discontinue use of the Platform.
2. Eligibility & Accounts
You must be at least 18 years old and legally capable of entering a binding contract.
Accounts are authenticated via Google OAuth (NextAuth). We collect your Google-provided name, email, optional profile image, and session information.
You are responsible for maintaining account security and ensuring all information remains accurate.
AdLumoEx may suspend or terminate accounts for noncompliance or misuse.
3. Marketplace Roles
Operators
- • Complete Stripe Connect onboarding, providing accurate identity, banking, and tax information.
- • Maintain compliance with Stripe and applicable laws.
- • Provide truthful listing details (location, pricing, availability, photos).
- • Upload proof of ad placement within required timelines.
- • Keep on record all campaign-specific instructions (creative specifications, timelines, and correspondence) in case of dispute review.
- • Obtain and maintain any required permits, landlord approvals, or zoning clearances.
- • Accept liability for vandalism, damage, or unauthorized ad removal after installation.
Advertisers
- • Submit lawful, non-infringing ad creatives.
- • Complete payment through Stripe Checkout.
- • Review and approve proof submissions within seven (7) days or raise a dispute if necessary.
- • Understand that funds are held in escrow until both parties approve or the window expires.
4. Payments & Escrow
All payments and payouts are processed via Stripe Connect; AdLumoEx does not store raw card data.
Funds remain in escrow until mutual approval or expiration of the proof window.
Disputes pause release of funds; AdLumoEx may extend the seven-day window for investigations.
Platform and Stripe fees are non-refundable except as required by law.
AdLumoEx may issue refunds or void transactions at its discretion for fraud or listing errors.
5. Auctions
Operators may set start bids, increments, reserve prices, and “buy-now” options.
When an auction ends, our automated auction service finalizes the highest valid bid.
If the top bidder declines or fails to pay, the auction rolls down to the next eligible bidder.
AdLumoEx may cancel or void any auction that appears fraudulent or collusive.
Operators must honor legitimate winning bids once confirmed and paid.
6. Proof & Disputes
Operators must upload clear, date-stamped proof photos showing the ad in place.
Advertisers have seven (7) days to accept or dispute proof; AdLumoEx may extend this window when an investigation is active.
All related communication must occur within the in-platform messaging system to maintain a complete audit trail.
AdLumoEx may mediate disputes based on available evidence; its determination governs escrow release.
7. Data Handling & Third Parties
AdLumoEx relies on:
• Google OAuth / NextAuth — authentication
• Stripe Connect — payments and payouts
• Mapbox Geocoding / Map Tiles — map display and approximate location visualization
We collect and store:
• City, state/region, and country (plus optional street address) for geocoding.
• Approximate latitude/longitude coordinates via Mapbox APIs.
• Listing and proof photos on platform-managed storage so they remain accessible for bookings, verifications, and support.
Map pins shown on the public map are approximate and should not be used for precise navigation or property identification.
These third-party services act as sub-processors under their own terms. AdLumoEx retains booking, dispute, and messaging data in PostgreSQL for auditing and support.
8. Intellectual Property
AdLumoEx owns its software, designs, and branding.
Operators and advertisers retain ownership of their creative content but grant AdLumoEx a limited license to display it for verification, marketing, and compliance.
9. Content Moderation & Suspension
AdLumoEx may edit, hide, or remove listings or accounts that:
• Violate law, rights, or our Content Guidelines.
• Include hate speech, unsafe imagery, or misleading descriptions.
• Manipulate auctions or engage in fraud.
Repeated or severe violations may result in permanent account removal.
10. Privacy, Support & Data Retention
Operational data is retained as long as necessary for dispute resolution, legal compliance, and support.
Data may be used anonymously for analytics but is never sold.
You may request data deletion by contacting support@adlumoex.com.
Our support team aims to respond within 3–5 business days (or sooner for critical issues).

11. Liability
AdLumoEx acts solely as a marketplace intermediary.
Operators and advertisers are responsible for:
• Legal and permit compliance.
• Creative content rights.
• Vandalism, damage, or other losses after installation.
AdLumoEx is not liable for indirect, incidental, or consequential damages.
Our total liability is limited to the greater of $100 or the total service fees you paid within the past six (6) months.
12. Indemnification
You agree to defend and indemnify AdLumoEx, its affiliates, and employees from claims arising out of your listings, advertisements, or misuse of the Platform.
13. Dispute Resolution & Governing Law
These Terms are governed by Utah law.
Users agree to attempt resolution through our support system before arbitration.
Unresolved disputes will be settled by binding arbitration in Salt Lake County, Utah, under AAA rules.
A brief notice of this arbitration requirement appears in the site footer as “Disputes → Binding arbitration (see Terms §13).”
14. Changes to Terms
We may revise these Terms at any time. Updates take effect upon posting. Continued use signifies acceptance.
