AdLumoEx – Terms of Service

1. Overview
AdLumoEx ("we," "us," or "the platform") is a community sponsorship marketplace that connects Sponsors with Operators. Sponsors support Operators and receive recognition through Community Sponsorship Displays. We are not a billboard or off-premise advertising network.
By creating an account, browsing listings, submitting interest, or booking a Placement, you agree to these Terms of Service ("Terms"). If you do not agree, please discontinue use of the platform.
2. Eligibility & Accounts
You must be at least 18 years old and legally capable of entering a binding contract.
Accounts use Google OAuth (NextAuth). We collect your Google-provided name, email, optional profile image, and session information.
You are responsible for account security and keeping your information accurate. AdLumoEx may suspend or terminate accounts for misuse or noncompliance.
3. Roles & Definitions
Operators
- • List Display Locations and complete Stripe Connect onboarding (identity, banking, tax).
- • Provide truthful details (location, pricing, availability, photos) and keep them updated.
- • Install and maintain Community Sponsorship Displays and upload proof within required timelines.
- • Secure any permits, landlord approvals, or zoning clearances required for your Display Locations.
- • Accept responsibility for damage, removal, or vandalism after installation.
Sponsors
- • Submit lawful, non-infringing Creative.
- • Complete payment through Stripe Checkout.
- • Review and approve proof within the stated window or open a dispute if needed.
- • Understand funds are held until proof is approved or the window expires.
Key terms
- • Community Sponsorship Display: A small-format, non-illuminated recognition display placed by the Operator on their premises.
- • Placement: A defined sponsorship period (e.g., one or three months) at a specific Display Location.
- • Display Location/Display Space: The Operator’s designated spot for the Community Sponsorship Display.
4. Payments & Held Funds
Payments and payouts run through Stripe Connect; AdLumoEx does not store raw card data.
Funds are held until proof is approved or the review window expires. Disputes pause release; AdLumoEx may extend timelines during investigations.
Platform and Stripe fees are non-refundable except as required by law. We may void or refund transactions for fraud or listing errors.
5. Placement Rules & Auctions
Operators may set minimums, cadence, and pricing for placements and, where enabled, use auctions with start bids, increments, reserves, or buy-now options.
When an auction ends, the highest valid bid is finalized; if the winner declines or fails to pay, we may roll down to the next eligible bidder.
AdLumoEx may cancel or void any auction or placement that appears fraudulent or collusive. Operators must honor confirmed, paid Placements.
Operators must follow the Community Sponsorship & Placement Rules, including interior-first, small-format standards.
6. Proof, Disputes & Timeline
Operators upload clear, date-stamped proof photos showing the Community Sponsorship Display in place.
Sponsors generally have seven (7) days to accept or dispute proof; AdLumoEx may extend this window during investigations.
All communication about proof and disputes must stay in platform messaging for audit purposes.
AdLumoEx may mediate based on evidence. Our determination governs release or refund of held funds.
7. Content & Creative Standards
Creative must be lawful, non-infringing, family-friendly, and suitable for community spaces. No hate, harassment, illegal products, explicit content, or unsafe claims.
Sponsors are responsible for rights to logos, images, trademarks, and copy. Operators may decline categories to comply with local or landlord restrictions.
Community Sponsorship Displays should be small-format, non-illuminated, and interior-first to respect local standards.
8. Data Handling & Third Parties
We use Google OAuth/NextAuth for authentication, Stripe Connect for payments/payouts, and Mapbox for approximate location display.
We collect city/region/country (plus optional street), approximate coordinates, and listing/proof photos for bookings, verifications, and support.
Map pins are approximate and not for precise navigation. Third parties act under their own terms. Booking and dispute data is retained for auditing and support.
9. Intellectual Property
AdLumoEx owns its software, designs, and branding.
Operators and Sponsors retain ownership of their Creative but grant AdLumoEx a limited license to display it for verification, compliance, and platform marketing.
10. Moderation, Suspension & Fraud
We may edit, hide, or remove listings or accounts that violate law, rules, or these Terms; include unsafe or misleading descriptions; manipulate bids or held funds; or engage in fraud.
Enforcement may include warnings, listing pauses, freezing payouts, or permanent removal. Serious violations may be reported to authorities.
11. Privacy, Support & Data Retention
Operational data is retained as needed for disputes, compliance, and support. Data may be anonymized for analytics; it is not sold.
Request data deletion via support@adlumoex.com. Support targets 3–5 business days for responses (faster for critical issues).
A separate Privacy Policy will provide additional details once published.
12. Liability & Indemnity
AdLumoEx acts as a marketplace intermediary. Operators and Sponsors are responsible for legal compliance, creative rights, and any loss or damage after installation.
We are not liable for indirect, incidental, or consequential damages. Total liability is limited to the greater of $100 or the service fees you paid in the past six (6) months.
You agree to defend and indemnify AdLumoEx, its affiliates, and employees from claims arising out of your listings, Community Sponsorship Displays, or misuse of the platform.
13. Dispute Resolution & Governing Law
These Terms are governed by Utah law. Users agree to attempt resolution through our support system before arbitration.
Unresolved disputes will be settled by binding arbitration in Salt Lake County, Utah, under AAA rules.
A notice of this arbitration requirement appears in the site footer as “Disputes + Binding arbitration (see Terms §13).”
14. Changes to Terms
We may revise these Terms at any time. Updates take effect upon posting. Continued use signifies acceptance.
